We are partnering with a growing in-house legal team in the northwest suburbs seeking a Senior Paralegal to support a broad range of corporate, transactional, and compliance matters. This is a fast-paced, high-impact role supporting attorneys with corporate governance, contract review, legal operations, and regulatory initiatives.

Responsibilities

• Manage legal matters in a matter management system (opening/closing matters, tracking deadlines, reporting, status updates)
• Process and coordinate outside counsel invoices and ensure compliance with billing guidelines
• Maintain corporate governance records (entities, resolutions, annual filings, board materials)
• Support entity management and coordinate filings, licenses, and compliance requirements
• Review NDAs and standard vendor/commercial agreements; flag deviations for attorney review
• Assist with contract routing, execution, and document management
• Support litigation and regulatory matters (document collection, tracking deadlines, coordinating with outside counsel)
• Maintain legal department files and improve workflows using legal technology tools
• Collaborate with internal teams on legal, operational, and compliance initiatives

Ideal Qualifications

• 5+ years of paralegal experience in an in-house or transactional environment
• Experience with corporate governance and entity management
• Background in contract review (NDAs, vendor agreements)
• Familiarity with SOX or similar compliance frameworks
• Experience supporting outside counsel billing and litigation/regulatory matters
• Strong organizational skills and ability to manage multiple priorities
• Experience with matter management systems (Brightflag or similar preferred)
• Knowledge of commercial contracts and basic UCC concepts
• Bachelor’s or Associate’s degree; Paralegal Certificate preferred
