What You'll Do
- Support sophisticated M&A, private equity, finance, and capital markets transactions
- Manage due diligence and corporate records review
- Utilize cutting-edge AI tools to assist with transaction support
- Prepare and coordinate entity formations, mergers, dissolutions, and corporate governance documents
- Draft stock certificates, capitalization tables, written consents, and organizational documents
- Coordinate UCC, litigation, tax lien, and bankruptcy searches
- Assist with SEC filings, Form D filings, EDGAR applications, and Blue Sky compliance
- Support transaction closings from signature packets through final closing binders
- Track post-closing requirements and corporate compliance obligations
- Work directly with attorneys and clients on sophisticated corporate matters
What We're Looking For
- 10+ years of corporate transactional paralegal experience
- AmLaw 100 law firm experience required
- Strong M&A, due diligence, and corporate governance background
- Experience supporting complex transactions and closings
- Exceptional organizational and project management skills
- Bachelor's Degree required
- ABA-approved Paralegal Certificate preferred
- Carta experience highly desired
