Robert Half Executive Search is partnering with a well-established trust and fiduciary services organization seeking a Vice President or Senior Vice President, ESOP Valuation Analyst to support and expand its ESOP services platform. This role is ideal for an experienced valuation professional with a strong background in closely held company valuation, ESOP transactions, and ERISA-related considerations.


The ESOP Valuation Analyst will play a key role in both ESOP transactions and ongoing ESOP administration, partnering with independent valuation firms, legal advisors, lenders, company leadership teams, and internal committees. The role offers meaningful exposure to complex, high-impact transactions and a collaborative, professional environment.

Key Responsibilities

Financial Analysis & Valuation

  • Apply ERISA principles and valuation concepts in the context of ESOP transactions and ongoing ESOP administration
  • Assist in the preparation and/or review of valuations of closely held companies
  • Review and assess valuation presentations prepared by independent valuation firms for committee review
  • Develop clear, well-structured valuation narratives and materials for committee-level discussion
  • Support ESOP transactions including deal structuring, financial analysis, lender financing considerations, and transaction closing activities

Cross-Functional & External Collaboration

  • Partner directly with company management teams, legal counsel, and transaction advisors on ESOP transactions
  • Collaborate closely with internal stakeholders across trust administration, legal, and business development functions
  • Participate in ongoing ESOP administration and fiduciary oversight activities
  • Engage with centers of influence to support the development of new ESOP opportunities
  • Attend industry conferences and professional events to deepen ESOP expertise and remain current on market trends
  • Travel as required to support transactions and relationship management

Skills & Competencies

  • Advanced proficiency in Microsoft Excel and financial modeling
  • Strong analytical and valuation capabilities with sound business judgment
  • Highly organized, detail-oriented, and comfortable managing complex projects under tight deadlines
  • Demonstrated problem-solving skills and ability to navigate ambiguity
  • Excellent verbal communication skills with the ability to explain complex valuation and ESOP concepts to both technical and non-technical audiences
  • Client-focused, collaborative, and team-oriented approach

Preferred Qualifications

  • Direct experience with ESOP valuations and ESOP-related transactions
  • Certified Valuation Analyst (CVA) or equivalent professional credential
  • Working knowledge of ERISA regulations as they apply to ESOPs

Education & Experience

  • Bachelor’s degree in Accounting, Finance, or a related field
  • Exposure to ERISA and ESOP regulatory frameworks preferred
  • 4+ years of experience in business valuation, finance, mergers & acquisitions, or related transactional roles
