Job Description
Candidates with experience in the real estate sector are preferred.
- Well Conversant with various provisions, section, rules of Indian Companies Act, 2013/1956, LLP Act, 2008 and other relevant Laws/Acts and ensuring the compliance with Companies Act of Private and Public Companies and corporate governance practices.
- Familiar with MCA Website (especially MCA 21 V2, V3 portal), RBI Website, other official websites of the Government.
- Preparing, verifying and checking statutory records of the Company i.e. Statutory Registers, Notice and Agenda, Minutes Book Board, Committee and General Meetings, Register of Contracts, other register which are required to be maintained under various provisions of the Companies Act/Rules.
- Preparing, Verifying/vetting financial statements, auditors report, CARO Report, XBRL documents should have basic understanding of Schedule III disclosure and accounting standards.
- Hand on experience in Demat of Shares, Corporate Actions etc.
- Experience in corporate restructuring, amalgamations and group reorganizations; assist in due diligence and secretarial audits.
- Knowledge about Company and LLP incorporation, partner changes, amendments, annual filings and routine LLP compliances.
- Drafting, vetting as well as reviewing agreements, MOUs, contracts, notices, declarations, affidavits, powers of attorney, corporate policies, SOPs and other legal/corporate documents.
- Liaise with ROC, RBI, consultants and government authorities; track changes in applicable laws and advice management on compliance impact.
Desired Candidate Profile
- Working knowledge of the Real Estate / Construction industry and its regulatory landscape.
- Hands-on experience with unlisted public companies, LLPs and group structures • Working experience and knowledge of MS excel.
- Sound knowledge of Ind AS and IGAAP, with exposure to consolidation of financial statements and group compliance.
- Strong legal drafting, communication and stakeholder coordination skills.
- Ability to independently manage secretarial and compliance matters end-to-end.
- Knowledge of SEBI ICDR and LODR will be an added advantage.
