Job Title: Company Secretary


Company: Lohia Worldspace

Location: Sultanpur, New Delhi



Role Objective

The Company Secretary will be responsible for ensuring statutory and regulatory compliance, corporate governance, and secretarial functions for the company and its group entities, while supporting senior management with legal, compliance, and governance advisory.


Key Responsibilities


Statutory & Regulatory Compliance


  • Ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
  • Handle MCA filings, ROC returns, annual filings, and statutory disclosures.
  • Maintain statutory registers, records, and compliance documentation.
  • Track amendments in corporate laws and advise management on impact and implementation.

Board, Committee & Shareholder Management


  • Organize Board Meetings, Committee Meetings, and General Meetings.
  • Prepare notices, agendas, resolutions, and minutes.
  • Ensure proper documentation and implementation of Board and shareholder decisions.

Corporate Governance

  • Ensure adherence to corporate governance best practices.
  • Draft, review, and maintain corporate policies, charters, and codes of conduct.
  • Support internal, statutory, and secretarial audits.

Secretarial Documentation & Records

  • Maintain statutory books, registers, and filings in physical and digital form.
  • Handle share-related matters, capital structure changes, and corporate actions, where applicable.
  • Ensure audit-ready documentation at all times.

Legal & Advisory Support

  • Coordinate with external legal advisors, auditors, and consultants.
  • Support management in legal, compliance, and regulatory matters.
  • Assist in drafting and vetting agreements, MoUs, NDAs, and corporate documents.

Reporting & Coordination

  • Prepare compliance MIS and statutory status reports for management.
  • Coordinate with finance, legal, and HR teams on statutory and compliance matters.
  • Act as the primary point of contact with regulators, authorities, and auditors.

Key Skills & Competencies

  • Strong knowledge of corporate and secretarial laws
  • Excellent documentation and drafting skills
  • High attention to detail and compliance orientation
  • Ability to interact effectively with senior management and Board members
  • High standards of integrity, confidentiality, and professionalism

Qualifications & Experience

  • Qualified Company Secretary (ICSI Member mandatory)
  • 410+ years of relevant experience
  • Experience handling multiple entities preferred

Director / CFO / Senior Management (as applicable)
