Job Description:
1. Ensuring compliance with the provisions of the Companies Act, 2013 and Rules made thereunder
and SEBI Listing Regulations and other securities laws, including but not limited to the following:
- Maintaining Minutes Book, Statutory Registers
- Preparation and filing of letters with Stock Exchanges, namely Corporate Announcements,
quarterly results, annual reports, and other corporate filings
- Integrated Filing (Governance)
- Shareholding Pattern
- Integrated Filing (Financials) including Related Party Transactions
- Documentation for obtaining Secretarial Audit Report and Secretarial Compliance Report
- Compliance with Regulation 26 concerning the number of directorships
- RTA Certificate: Regulation 74(5) under SEBI (Depositories and Participants) Regulations (DP)
- Reconciliation (Recon): As per SEBI 2002 Circular under SEBI - DP Regulation 76
- Disclosure of material events to SEs
- Annual disclosure under Regulation 31(4) of SEBI (SAST) Regulations, 2011
- Ensure adherence to all provisions of Prohibition of Insider Trading Regulations (PIT) including
maintaining a Structured Digital Database (SDD)
- Allotment and listing of ESOP shares
- Preparation and filing eForms with ROC - MSME, DPT-3, MGT-7, AOC-4, CSR-2, DIR-12, CHG-4,
CHG-1 etc. and post AGM corporate filings, Circular resolutions, Postal ballot etc.
- Keep management updated on regulatory changes, Corporate and Securities Laws
2. Drafting below documents:
- Agendas and minutes of Board, Committees and AGM;
- Annual Report related documents, like Boards Report, BRSR (Business Responsibility and
Sustainability Report), Corporate Governance Report, and Management Discussion and
Analysis (MDA).
- Coordination with agency preparing theme bases Annual Report;
- Drafting and updating the Policies in compliance with Corporate and Securities Laws.
3. Others activities:
- Timely payment of Dividend and coordination for the same
- Timely updation of documents on Compliance tool
- Timely updation of the Investor Section of the Company’s website
- Coordinating with statutory, secretarial, and internal auditors to ensure accurate
documentation and compliance with regulatory standards.
- Coordinate with RTA for various reports
- Respond to stakeholders queries
- Processing payments for secretarial vendorsRole & responsibilities
